Course description

This course involves an advanced study of the regulation of corporate takeovers. The course will explore the substantive aspects of, and rationales for, takeover regulation, including mandatory bids, squeeze out/sell out, and the prohibition on defensive measures, as well as the procedural aspects of takeover regulation. The course will also explore the market for corporate control and regulatory approaches in other jurisdictions.
